TERMS OF SERVICE

Effective date: August 3, 2026

These Terms and Conditions ("Terms") govern access to and use of the Lumost website, web application, and mobile applications (together, the "Services"), provided by Lumost Corp ("Lumost," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms on behalf of yourself and, if applicable, the organization you represent.

If you do not agree to these Terms, do not access or use the Services.

DESCRIPTION OF THE SERVICES

Lumost is a logistics platform that connects shippers, carriers, and freight brokerages, providing tools for order and load management, carrier onboarding and compliance monitoring, dispatch and tracking, document management, and related services. Certain functionality is organized into modules, which an organization's subscription determines access to.

The web application is intended for account configuration, analysis, and administrative work. The mobile applications are intended for field use — including load status updates, document capture, and driver and carrier workflows. Functionality available may differ between the web and mobile applications, and between user roles.

ELIGIBILITY AND ACCOUNT ACCESS

Organization-based access only

Lumost does not offer public self-registration. Access is granted by invitation from an organization already using the Services (a shipper, carrier, brokerage, or Lumost itself). By accepting an invitation, you represent that you are authorized to act on behalf of the organization that invited you, or that you are using the Services in your individual capacity as an authorized carrier owner or driver under that organization's account.

Accuracy of information

You agree to provide accurate, current, and complete information during onboarding and to keep that information up to date, including business identity, carrier authority, and insurance information where applicable.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Account deletion

You may request deletion of your account at any time as described in our Privacy Policy. Your organization administrator may also remove your access.

CARRIER VETTING AND COMPLIANCE INFORMATION

Lumost provides tools to assist shippers and brokerages in vetting and monitoring carriers, using data from federal regulatory sources and third-party commercial data providers (including safety scores, operating authority status, and insurance filing status).

This information is provided for informational purposes and does not constitute a guarantee, warranty, or certification of any carrier's safety, authority, insurance coverage, or fitness to operate. Vetting and monitoring data reflects information available from third-party sources as of the time it was retrieved and may not reflect real-time or complete conditions. Shippers and brokerages remain solely responsible for their own carrier selection and compliance decisions, including any independent verification they determine is necessary.

DRIVER LOCATION TRACKING

If you use the Services in a driver role, the Services collect your device's location on a continuous basis for the duration a load is assigned to you, including while the app is running in the background or your device is locked, as described in our Privacy Policy. By granting the location permission on your device and using the driver features of the Services, you consent to this collection and to its use for shipment visibility, carrier compliance monitoring, and delivery verification.

Location tracking is required for core driver functionality. If you decline or revoke this permission, Lumost may be unable to provide, or may materially limit, real-time tracking and related features for loads assigned to you, and your organization or the carrier you are assigned to may require this permission as a condition of assigning you loads.

Location data reported through the Services depends on your device's hardware, settings, connectivity, and operating system behavior, and Lumost does not guarantee that location data will be continuous, complete, or accurate at all times.

PAYMENTS AND FEES

Module licensing

Module access is licensed to organizations under separate commercial agreements. The mobile and web applications do not sell modules directly to individual users; access is determined by your organization's subscription and your assigned role.

Freight and settlement payments

The Services facilitate payment for freight charges between shippers and carriers. Depending on your role, this may work as follows:

  • Shippers authorize Lumost to initiate ACH debits from the bank account on file for amounts owed for freight charges, as those charges are approved through the Services.
  • Carriers and other payees authorize Lumost to initiate ACH credits to the bank account on file for amounts owed to them.
  • As an alternative to ACH, payments may be issued or received by paper check where elected or required.

ACH authorization

By providing bank account information and using the Services to send or receive freight payments, you authorize Lumost and its payment processor to initiate the ACH debit and credit entries described above, in accordance with NACHA operating rules and applicable law. This authorization remains in effect until you notify us in writing that you are revoking it, with reasonable notice, and revoking it may prevent you from sending or receiving payments through the Services. If you believe an ACH debit or credit was made in error, contact us promptly using the information in Section 15.

Lumost's role in the flow of funds

Lumost's payment flow involves debiting funds from shippers and crediting those funds to carriers. Shipper will determine payment terms upon onboarding, and Lumost will make payment within the allotted time period as determined by Shipper once all invoice documentation has been received and approved by Shipper.

Fees generally

Fees for Services are set out in the subscription agreement or module contract between Lumost and your organization, not in these Terms.

ACCEPTABLE USE

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Upload false, misleading, or fraudulent information, including falsified compliance, insurance, or identity documents
  • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or underlying systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services to harass, defraud, or harm another user, carrier, shipper, or third party
  • Reverse engineer, decompile, or attempt to extract source code from the Services, except as permitted by law

We may suspend or terminate access for violations of this section.

INTELLECTUAL PROPERTY

The Services, including all software, design, trademarks, and content provided by Lumost (excluding content you upload), are owned by Lumost or its licensors and are protected by intellectual property laws. These Terms do not grant you any ownership rights in the Services. You retain ownership of documents, photos, and other content you upload, and you grant Lumost a license to use that content solely to provide and operate the Services.

THIRD-PARTY SERVICES

The Services may integrate with or link to third-party services (including mapping, payment processing, carrier data providers, and communications tools). Lumost is not responsible for the practices, content, or availability of third-party services, and your use of them may be subject to separate terms.

DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. LUMOST DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CARRIER VETTING, COMPLIANCE, OR MONITORING INFORMATION IS COMPLETE OR ACCURATE.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMOST WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LUMOST'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION TO LUMOST IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms limits liability that cannot be limited under applicable law.

INDEMNIFICATION

You agree to indemnify and hold Lumost harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Services, or your violation of any law or third-party right, including claims arising from inaccurate information you provide (such as falsified carrier compliance or insurance information).

TERMINATION

We may suspend or terminate your access to the Services at any time for violation of these Terms, at the request of your organization, or as necessary to protect the Services or other users. Your organization's subscription agreement governs termination of organizational access. Upon termination, your right to use the Services ends, though certain provisions of these Terms (including Sections 7, 9, 10, and 11) survive termination.

GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Ochiltree County, TX, and you consent to the jurisdiction of those courts.

CHANGES TO THESE TERMS

We may update these Terms from time to time. The latest version, with its effective date, will be posted here. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. For material changes, we will provide additional notice where required by law or by your organization's agreement.
